These Terms and Conditions explain the legal framework for using Zmirf services, including hosting, domains, billing, and support operations.

BINDING AGREEMENT

Who These Terms Apply To

These terms apply to every account holder, prospect, customer, and reseller using Zmirf infrastructure, websites, domains, or managed services.

Registrar And Payment Dependencies

Domain registration and card processing are delivered through trusted processors and registrars, each with their own mandatory rules.

RISK CONTROL

Abuse, Suspension, Termination

We may suspend or terminate services for security threats, abuse, unlawful use, chargeback fraud, or serious contractual breaches.

1. Accounts, Eligibility, And Authority

  • You must provide accurate account, invoicing, and contact details and keep them current.
  • If you register on behalf of a company, you confirm authority to bind that company.
  • You are responsible for account credentials and activity under your account.

2. Services, Availability, And Changes

  • Services include hosting, domains, support, maintenance, and software delivery as agreed in your order.
  • Technical methods may change for security, compliance, legal, or operational reasons.
  • Planned maintenance may affect availability and is handled using reasonable notice where practical.
  • Except where mandatory law states otherwise, services are provided "as is" and "as available" without uninterrupted, error-free, or 100% uptime guarantees.

3. Acceptable Use And Prohibited Activity

  • No malware, phishing, fraud, botnet activity, unauthorized scanning, spam, or illegal content hosting.
  • No copyright, trademark, privacy, or consumer-rights violations.
  • We may take immediate protective action, including traffic blocking and suspension, for active abuse.

4. Domain Registrations And Renewals

  • Domain orders depend on registry and registrar acceptance and may be rejected or delayed outside our control.
  • Registrant data must be lawful, complete, and up to date to avoid suspension or transfer issues.
  • Domain fees are generally non-refundable after submission to registrar systems, unless law requires otherwise.

5. Billing, Taxes, And Payment Enforcement

  • Invoices, subscriptions, and renewals are payable by due date in stated currency and amounts.
  • You are responsible for VAT, sales tax, withholding, or similar taxes unless explicitly included.
  • Late or failed payments can lead to service restriction, suspension, cancellation, debt recovery, and chargeback administration handling.

6. Reseller-Specific Obligations

  • Resellers must pass down applicable hosting, abuse, privacy, and domain rules to end customers.
  • Resellers remain responsible for end-customer compliance, identity accuracy, and abuse cooperation.
  • Where required by law or registry rules, reseller accounts must provide KYC and due-diligence information.

7. Downtime, Third-Party Dependencies, And Backups

  • Zmirf is not liable for outages caused by registrars, DNS providers, upstream carriers, cloud vendors, payment processors, attacks, force majeure, or customer-side changes.
  • Customers are responsible for maintaining their own independent backups unless a separate managed backup service is explicitly contracted.
  • Restoration windows, data integrity outcomes, and business interruption impacts cannot be guaranteed in every incident scenario.

8. Indemnity

  • Customers and resellers agree to defend and indemnify Zmirf against third-party claims arising from hosted content, unlawful use, policy breaches, or misuse of services.
  • Indemnity includes reasonable legal fees, response costs, and regulatory handling costs to the extent permitted by law.

LEGAL FRAMEWORK

Liability, warranty, and governing law

  • Services are provided on an "as is" and "as available" commercial basis, and no uninterrupted availability warranty is provided except where mandatory law requires otherwise.
  • Neither party excludes liability where exclusion is prohibited by law (including fraud or personal injury caused by negligence).
  • For all other claims, cumulative liability is limited to the lesser of amounts paid for the affected services in the prior 3 months or 500 EUR, to the extent permitted by law.
  • Zmirf is not liable for indirect or consequential losses, including lost revenue, lost profits, lost data, or business interruption, to the extent permitted by law.
  • These terms are governed by the laws of the country where Zmirf contracts are issued, unless mandatory law requires otherwise.

IMPORTANT

Contract hierarchy and legal review

If you have a signed Master Service Agreement, Data Processing Agreement, or Order Form, that signed contract prevails over this website version where conflict exists.
